6. Payment Terms

• Remaining payment is due upon project completion or according to milestone-based schedule

7. Project Execution

• Additional revisions beyond the agreed scope may incur extra charges

7.3 Client Responsibilities

• Provide timely feedback and approvals
• Supply necessary content, materials, and access in a timely manner
• Designate a primary point of contact for project communication
• Review deliverables promptly and report any issues

8. Confidentiality

We respect the confidentiality of your business information and project details. We will not disclose confidential information to third parties without your consent, except as required by law or to provide the agreed services.

Both parties agree to maintain confidentiality of proprietary information shared during the course of the engagement.

9. Limitation of Liability

To the maximum extent permitted by law:

• We are not liable for any indirect, incidental, special, or consequential damages
• Our total liability is limited to the amount paid by you for the specific service in question
• We are not responsible for issues arising from third-party services or integrations
• We do not guarantee uninterrupted, error-free operation of our services
• Clients are responsible for maintaining backups of their data

10. Warranty Disclaimer

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that our services will meet your specific requirements, be uninterrupted, timely, secure, or error-free.

11. Indemnification

You agree to indemnify and hold harmless Malachite Technologies, its employees, contractors, and agents from any claims, damages, losses, or expenses arising from your use of our services, violation of these Terms, or infringement of any third-party rights.

12. Termination

12.1 By Client

You may terminate services according to the cancellation terms in our Cancellation and Refund Policy.

12.2 By Company

We may terminate or suspend services immediately if you:

• Breach these Terms
• Fail to make timely payments
• Engage in fraudulent or illegal activities
• Use our services in a manner that harms our business or reputation

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms shall first be attempted to be resolved through good faith negotiations. If unresolved, disputes shall be submitted to binding arbitration in Noida, Uttar Pradesh, India.

14. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting on our website. Continued use of our services after changes constitutes acceptance of the revised Terms.

15. Severability
